1. Agreement to Terms

These Terms and Conditions (“Terms”) are a binding agreement between you (“you,” “your,” or “User”) and Precision Speed Solutions LLC, a North Carolina limited liability company, doing business as Precision Setups (“Precision Setups,” “we,” “us,” or “our”), concerning your access to and use of the website located at precisionsetups.gg (the “Site”) and any related products, services, content, or features we make available (collectively, the “Services”).

By accessing the Site, creating an account, or purchasing any product or service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into this agreement or make a purchase. If you are between 13 and 17, you may use the Services only with the involvement and consent of a parent or legal guardian.

2. About Our Services

Precision Setups provides digital products and services related to sim racing, which may include:

Downloadable vehicle setup files for simulation racing platforms (including but not limited to iRacing)
– Setup subscriptions, packages, and bundles
– Coaching, consulting, and driver development services
– Data analysis, telemetry review, and related services
– Other digital content, guides, or broadcast-related services

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time, with or without notice.

3. Accounts

Certain features require you to register for an account. When you register, you agree to:

Provide accurate, current, and complete information
– Keep your account credentials confidential
– Notify us immediately of any unauthorized access
– Accept responsibility for all activity under your account

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or misuse the Services.

4. Purchases, Pricing, and Payment

Pricing. All prices are listed in U.S. Dollars and are subject to change without notice. We reserve the right to correct pricing errors even after an order is placed.

Payment. Payments are processed through third-party payment processors, including Stripe and PayPal. By submitting payment information, you authorize us and our processors to charge the applicable amount, including any taxes and fees. Your use of these processors is also subject to their respective terms and privacy policies.

Order Acceptance. Your order is an offer to buy. We reserve the right to accept or decline any order for any lawful reason, including suspected fraud, errors in pricing or availability, or violations of these Terms.

Taxes. You are responsible for any applicable sales, use, VAT, or similar taxes associated with your purchase.

5. Digital Products, Delivery, and Refund Policy

Delivery. Digital products are typically delivered electronically via download link, account dashboard, or email following successful payment. Delivery times are estimates and not guaranteed.

Refund Policy. Because our products consist of digital goods that are delivered instantly and cannot be returned once accessed, all sales are final and non-refundable, except as follows:

If a product is materially defective or fails to deliver, contact us at [email protected] within seven (7) days of purchase and we will attempt in good faith to resolve the issue, which may include a replacement file, credit, or refund at our discretion.
– Subscription services may be canceled at any time, but fees already charged for the current billing period are non-refundable unless required by law.
– Coaching or service-based offerings may be rescheduled or refunded according to the specific terms disclosed at the time of purchase.

This policy does not limit any rights you may have under applicable consumer protection laws.

6. Subscriptions (If Applicable)

If you purchase a subscription:

Your subscription will automatically renew at the end of each billing cycle at the then-current price, unless canceled before the renewal date.
– You may cancel at any time through your account dashboard or by contacting us at [email protected].
– Cancellation takes effect at the end of the current billing period; you retain access until that time.
– We may change subscription pricing with at least thirty (30) days’ notice before the next renewal.

7. License to Digital Setups and Content

When you purchase or download a setup file or other digital content, Precision Setups grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use that content solely for your own personal, non-commercial sim racing use.

You may not:

Copy, redistribute, share, resell, rent, lease, or sublicense any purchased content, in whole or in part
– Post purchased content to forums, Discord servers, file-sharing sites, cloud drives, or any public or semi-public location
– Use purchased content to create derivative works for redistribution
– Reverse engineer, decompile, or attempt to extract the underlying methodology for commercial purposes
– Use our content in any commercial esports, broadcast, or pay-to-access context without a separate written license from us

Each license is granted to a single individual. Team, league, or organizational use requires a separate agreement — contact us at [email protected].

Violation of these license terms may result in immediate termination of your account, forfeiture of access to purchased content without refund, and pursuit of any other remedies available to us at law or in equity.

8. Intellectual Property

All content on the Site, including setup files, data, text, graphics, logos, images, videos, branding (including “Precision Setups,” “Precision Speed Solutions,” and “Watch. Learn. Go faster.”), software, and compilations thereof, is owned by or licensed to Precision Speed Solutions LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

9. User Content

If you submit content to the Site — including reviews, comments, feedback, setup requests, telemetry data, forum posts, or other submissions (“User Content”) — you grant Precision Speed Solutions LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in any media for the operation and promotion of our Services.

You represent that you own or have the necessary rights to any User Content you submit, and that it does not violate any third-party rights or applicable laws.

We reserve the right, but not the obligation, to remove any User Content at our sole discretion.

10. Acceptable Use

You agree not to:

Use the Services in any way that violates any applicable law or regulation
– Attempt to gain unauthorized access to the Site, servers, or accounts of other users
– Interfere with, disrupt, or overload the Site or its infrastructure
– Use automated tools (bots, scrapers, crawlers) to access the Site, except as permitted by our robots.txt
– Upload viruses, malware, or other malicious code
– Harass, abuse, or harm other users or our staff
– Impersonate any person or misrepresent your affiliation
– Circumvent any access restrictions, licensing controls, or security measures
– Use the Services in connection with cheating, exploits, or activity that violates the terms of service of any sim racing platform (including iRacing)

We reserve the right to investigate and take appropriate action, including reporting to law enforcement, against anyone who violates these provisions.

11. Third-Party Platforms and Services

Our setups and services are designed to be used with third-party sim racing platforms (such as iRacing) that are independently owned and operated. We are not affiliated with, endorsed by, or sponsored by these platforms. Your use of any third-party platform is governed solely by that platform’s terms.

We make no guarantee that our products will remain compatible with any third-party platform following updates, patches, or changes to that platform outside our control.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Without limiting the foregoing, we do not warrant:

That any setup will produce any particular lap time, race result, finishing position, or performance outcome
– That our Services will be error-free, secure, or available at all times
– That defects will be corrected
– That any content or information is accurate, complete, or current
– Compatibility with any specific hardware, software, platform version, or update

Sim racing performance depends on many factors outside our control, including your hardware, connection, driving skill, tire wear, weather and track conditions, and software versions. No setup guarantees results.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event shall Precision Speed Solutions LLC, its affiliates (including Precision Entertainment LLC, Precision Hosting LLC, Precision Servers LLC, and Precision Technology LLC), officers, members, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Services — whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us in the six (6) months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Precision Speed Solutions LLC and its affiliates, officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use or misuse of the Services
– Your violation of these Terms
– Your violation of any third-party right, including intellectual property or privacy rights
– Your User Content

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to access or use the Services and any purchased content will cease. Sections that by their nature should survive termination (including Sections 7, 8, 9, 12, 13, 14, and 17) will survive.

16. Modifications to the Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above and, for material changes, provide notice on the Site or by email. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.

Informal Resolution. Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the matter informally for at least thirty (30) days.

Venue. Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Wake County, North Carolina. You and Precision Speed Solutions LLC each consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.

18. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and us regarding the Services.
– Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
– No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
– Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with any merger, acquisition, or sale of assets.
– Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, pandemic, labor disputes, utility or internet outages, or third-party platform failures.
– Headings. Section headings are for convenience only.
